Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 9, 2022, Vernon Irvin, Executive Vice President and Chief Revenue Officer of Everbridge, Inc. (the “Company”), notified the Company of his decision to resign from the Company to pursue other opportunities effective on November 23, 2022.

Elliot J. Mark, Senior Vice President and General Counsel, will be leaving the Company effective on December 31, 2022, to pursue other business opportunities. Mr. Mark’s departure constitutes a termination other than for “cause” under the Company’s Severance Plan, in which he participates, and for purposes of Mr. Mark’s outstanding equity awards.
